Terms and Conditions
Effective 19 October 2026. This version replaces all earlier terms published on maximpro.ai.
These Terms and Conditions ("Terms") govern your access to and use of MaximPro — the website at maximpro.ai, the MaximPro Cloud Portal, the MaximOps and MaximPro Shopper Android apps, the MaximPro PDT handheld software and the MaximPro Retail Desktop application for Windows (together, the "Service") — provided by Proeffico Solutions Pvt Ltd ("Proeffico", "we", "us"), a company registered in India (CIN U72900UP2020PTC137508) at Office B:23, 3rd Floor, Sector-67, Noida, Uttar Pradesh 201301, India. By creating an account, signing an order form, installing the software or using the Service you agree to these Terms. If you are entering into these Terms on behalf of a business, you confirm that you have authority to bind it, and "you" and "Customer" mean that business.
Where you and Proeffico have signed an order form, quotation or master subscription agreement ("Order Form"), the Order Form prevails over these Terms to the extent of any conflict. Our handling of personal data is described in the Privacy Policy, which forms part of these Terms.
1. Account and eligibility
You must be at least 18 years old and legally able to enter into contracts in your jurisdiction. The Service is offered to businesses, not consumers. You are responsible for the accuracy of the details you give us, for safeguarding your account credentials and device registrations, for the people you add as users, and for all activity under your account. Tell us at support@maximpro.ai as soon as you suspect unauthorised use.
2. What we offer
2.1 Cloud subscription, per outlet
The cloud subscription is priced per outlet (one physical store or warehouse location with its own stock) per month and billed annually in advance, with tills included: Store (1 till included), Chain (3 tills included) and Enterprise (unlimited tills, on request). Each outlet selects a tier; a chain may mix tiers. Monthly billing, where we agree to it, carries the surcharge shown on the pricing page. Current list prices are published at maximpro.ai/pricing and are incorporated into these Terms as at the date of your Order Form.
2.2 Retail Desktop perpetual licence
The perpetual licence is a one-time fee for the MaximPro Retail Desktop application installed on one store's own Windows PC with a local SQL Server company database, for the number of tills licensed. It includes the first year of updates and support. From the second year, updates and support require an annual maintenance charge ("AMC") at the rate published on the pricing page (₹4,999 per year at the effective date). If the AMC lapses the licence continues but you are not entitled to updates, patches or support until it is reinstated. Cloud tiers may be added to a perpetual outlet at any time at the tier price.
2.3 Add-ons and services
- Extra tills on the Store and Chain tiers, charged per till per month.
- VIZO361 video analytics, quoted per camera and subject to VIZO361's own terms where it is provided by a separate Proeffico product.
- Implementation, data migration, opening stock entry and training, quoted one-time by store count and delivered on-site or remotely as agreed in the Order Form.
- Hardware — PDT handhelds, printers, scanners, PCs — is not part of the Service unless the Order Form says so; hardware is covered by its manufacturer's warranty, not by these Terms.
2.4 Pilots
We do not offer an anonymous free trial. Instead we run a pilot configured with your items, stores and tax set-up for an agreed period. Pilot data may be carried forward into the live subscription or deleted at the end of the pilot, as you instruct in writing. Unless the Order Form says otherwise, a pilot is free of charge and the commitments in sections 7 and 11 do not apply to it.
3. Fees, taxes and invoicing
- Fees on maximpro.ai are quoted in Indian Rupees (INR) and are exclusive of taxes. Goods and Services Tax (GST) at the applicable rate is added to every invoice, which carries our GSTIN so you can claim input credit where you are eligible.
- Annual subscriptions are invoiced in advance for the term. Perpetual licence fees, implementation and training are invoiced on order and are due before installation unless the Order Form says otherwise.
- Invoices are payable within 15 days of the invoice date unless the Order Form states a different period. Payment may be made by bank transfer, UPI or any method shown on the invoice.
- If an invoice is more than 30 days past due we may, after written notice, suspend access to the cloud Service until payment is received. Billing on Retail Desktop continues locally during a cloud suspension; cloud sync resumes when the account is restored.
- We may change list prices with at least 30 days' written notice; the change applies from your next renewal. Prices fixed in an Order Form do not change during its term.
- Fees paid are non-refundable except where these Terms or applicable law say otherwise.
4. Term, renewal and cancellation
Annual cloud subscriptions renew automatically for successive twelve-month terms unless either party gives written notice of non-renewal at least 30 days before the renewal date. You may reduce the number of outlets or change tiers with effect from the next renewal. Cancellation during a term does not entitle you to a refund of fees already paid for that term. The perpetual licence does not expire; only the optional AMC renews annually.
On expiry or termination of a cloud subscription you may export your data from the Cloud Portal in CSV or Excel format for 30 days. After that period we delete the account data from live systems, subject to section 7 and to any records we are required by law to retain.
5. Acceptable use
You agree not to, and not to permit any user to:
- use the Service for any unlawful, harmful or abusive purpose, or to record transactions that did not take place;
- violate the privacy or intellectual-property rights of any person, including by uploading customer data you have no lawful basis to process;
- send unsolicited bulk messages through the WhatsApp, SMS or email features of the Service, or breach the platform policies of WhatsApp, Google Play or any other third party the Service connects to;
- attempt unauthorised access to the Service, another customer's data, or the systems and networks that host it;
- copy, modify, reverse-engineer, decompile or create derivative works of the software, or install Retail Desktop on more tills or locations than you have licensed;
- share login credentials between people, register one PDT number to more than one device in a store, or circumvent any usage limit;
- introduce malware, or use the Service to store or transmit it.
We may suspend or restrict an account immediately where we reasonably believe this section has been breached, and will tell you why as soon as it is practical to do so.
6. Customer data and privacy
Data you and your users enter into the Service — items, prices, stock, sales, suppliers, customers, employees — is "Customer Data" and remains your property. We process it only to provide, secure, support and improve the Service and as you instruct, and we act as a data processor for personal data in it, with you as the data fiduciary under India's Digital Personal Data Protection Act 2023. You are responsible for the lawful collection and use of Customer Data, including notices to and consents from your own customers and staff. Our Privacy Policy describes where data is hosted, who may access it, how long it is kept and how data-subject requests are handled. A data-processing agreement is available on request for customers with statutory requirements. Data on a Retail Desktop PC under the perpetual licence stays on your premises and is yours to back up and secure.
7. Availability, support and maintenance
- The cloud Service is designed to be available continuously, with planned maintenance notified at least 48 hours in advance and scheduled outside Indian retail peak hours where possible. Specific uptime commitments and service credits, where offered, are set out in the Enterprise Order Form.
- Billing on Retail Desktop and capture on the PDT and MaximOps app continue offline on a local database; documents queue and synchronise when connectivity returns. We are not responsible for your internet connection, power or hardware.
- Support is provided by email on the Store tier, by email and WhatsApp on the Chain tier, and with a dedicated contact and the response times stated in the Order Form on the Enterprise tier. Support hours are Indian business hours unless the Order Form says otherwise.
- Updates to the cloud Service are applied by us. Updates to Retail Desktop, the PDT software and the apps are released by us and installed by you or our implementation team; perpetual-licence customers receive them while the first year or a current AMC is in force.
- We may modify or retire features with reasonable notice, provided the core functions you subscribed to are not materially reduced during a paid term.
8. Third-party services and app stores
Parts of the Service depend on third parties: Google Play for the MaximOps and Shopper apps, Meta's WhatsApp Business Platform for messaging, payment gateways and UPI providers, SMS and email delivery services, and VIZO361 for video analytics. Your use of those features is also subject to the third party's terms, and we are not responsible for their availability, pricing or policy changes. Message templates you submit to WhatsApp must be approved by Meta; we do not guarantee approval.
9. Intellectual property
The Service — including all software, designs, documentation, data models, trade marks and brand assets — is and remains the exclusive property of Proeffico Solutions Pvt Ltd and its licensors. MaximPro has been built together with Kays International LLC under a business collaboration; the terms of that collaboration are confidential between the parties and do not affect your rights under these Terms, which are granted by Proeffico alone. We grant you a limited, non-exclusive, non-transferable licence to use the Service, for your own retail business and the outlets and tills you have paid for, during your subscription term or, for the perpetual licence, for as long as you comply with these Terms. You may not resell, sublicense or provide the Service to third parties. Any suggestions or feedback you give us may be used by us without obligation. Reports, labels and documents you generate from your own Customer Data are yours.
10. Confidentiality
Each party will keep the other's confidential information — including pricing, Order Forms, product roadmaps, security details and Customer Data — confidential, use it only to perform under these Terms, and protect it with at least the care it uses for its own confidential information. This does not apply to information that is public through no fault of the receiving party, already known to it, independently developed, or that must be disclosed by law, in which case the receiving party will give notice where lawful.
11. Warranties and disclaimers
We warrant that the Service will perform materially as described in our product documentation and that we will provide it with reasonable skill and care. If it does not, your remedy is for us to correct the defect or, if we cannot within a reasonable time, to refund the fees paid for the affected period. Except as stated in this section, the Service is provided "as is" and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
Tax calculations depend on the rates, HSN/SAC codes and item mappings you configure. GST reports and summaries support your filing; MaximPro does not file statutory returns, generate e-invoices or e-way bills on your behalf, or provide tax, legal or accounting advice. You remain responsible for your statutory compliance and for verifying reports before relying on them.
12. Limitation of liability
To the fullest extent permitted by law, Proeffico's total aggregate liability arising out of or relating to these Terms, whether in contract, tort or otherwise, is limited to the fees you paid to us for the Service in the twelve months immediately preceding the event giving rise to the claim or, for a perpetual licence, to the licence fee and AMC paid in that period. We are not liable for indirect, incidental, special, consequential or punitive damages, loss of profit, revenue, goodwill or data, or for losses caused by your hardware, network, third-party services, or inaccurate data you entered. Nothing in these Terms limits liability for fraud, wilful misconduct, or anything that cannot be limited under applicable law.
13. Indemnity
You agree to indemnify and hold harmless Proeffico, its directors, employees and partners against claims, losses and costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, Customer Data you process unlawfully, or your violation of applicable law. We will indemnify you against third-party claims that the Service, used as permitted, infringes an Indian intellectual-property right, provided you notify us promptly and let us control the defence; we may modify or replace the affected part of the Service, or terminate it and refund unused prepaid fees.
14. Suspension and termination
Either party may terminate for material breach that is not cured within 30 days of written notice, or immediately if the other party becomes insolvent. We may suspend or terminate for breach of section 5 or non-payment under section 3. On termination, your right to use the cloud Service ends, the data-export period in section 4 applies, and you must stop using and remove any software for which the licence has ended. Sections 6, 9 to 13 and 16 survive termination.
15. Changes to these Terms
We may update these Terms. Material changes will be notified by email to your account contact at least 30 days before they take effect, and the current version is always published at maximpro.ai/terms. Continued use of the Service after the effective date constitutes acceptance; if you do not agree, you may give notice of non-renewal under section 4.
16. Governing law and disputes
These Terms are governed by the laws of India. Subject to any mandatory law, the courts at Gautam Buddh Nagar (Noida), Uttar Pradesh have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service. Before starting proceedings, the parties will attempt in good faith to resolve the dispute through their senior management within 30 days of written notice.
17. Grievances and contact
Questions about these Terms, invoices or your subscription go to sales@maximpro.ai. Complaints about personal data, or requests under the Digital Personal Data Protection Act 2023, go to our Data Protection Officer at dpo@proeffico.ai. We acknowledge grievances promptly and aim to resolve them within the time applicable Indian law requires.
